Banking and Financial Institutions

We have a broad and significant banking and financial institution practice. We serve several regional and national banking clients by involving attorneys as needed from all practice groups. We understand the regional businesses important to lending institutions, including the areas of agriculture, natural resources, high technology, municipal and local government, consulting, accounting, broker dealers, investment advisors, law, telecommunications, real estate, retail, and tourism.

With our long experience and extensive knowledge of the financial services industry, we help with cash management, regulatory compliance, bank chartering and formation, operational matters, employment issues, bank securities, tax and trust issues, commercial and corporate lending, real estate lending, vendor financing, troubled loans, workouts, borrower bankruptcies and receiverships, fraud litigation and recovery, collections, foreclosures, and other services required by lending institutions.

Lending/Financing: We analyze, negotiate, and draft documents related to all types of secured and unsecured, asset-based and real estate loans, long-term lease financing, equipment leasing, letters of credit, and revolving credit. We act as lender's counsel in construction and permanent financings for all uses of real estate, and in less traditional financings like tax-exempt bond issues, low income housing tax credits and public-private ventures. We counsel lenders regarding real estate investment trusts, conduit financing facilities, public and private securities offerings, and varying structures of carry-back financings.

Troubled Loans/Litigation: Our attorneys counsel and provide assistance with workout agreements, creditor representation in bankruptcy, receiverships, liquidations, foreclosures, and collections. Our litigation experience includes breach of contract, fraud, civil theft, recovery of property and money owed, real estate, lender liability, employment, unfair competition and trade secrets, insurance coverage, bad-faith breach of insurance contracts, securities, and tax disputes.

Regulatory: Our regulatory practice addresses the traditional concerns and new interests of Federal and state regulatory entities. Our attorneys are familiar with regulatory interests of the Board of Governors of the Federal Reserve System, the Federal Deposit Insurance Corporation, the Office of the Comptroller of the Currency, the Internal Revenue Service, the Securities and Exchange Commission, the Securities Investors Protection Corporation, the National Association of Securities Dealers, and other self-regulating organizations. We regularly address the conflicting and overlapping jurisdictional issues of these bodies as financial services consolidate and regulatory barriers fall. We appear in proceedings conducted by the banking, insurance, real estate, savings, and securities divisions of states in the West, most notably the Colorado Department of Regulatory Agencies. We know the current concerns of these Federal and state bodies, for example, in the delivery of financial services over the internet, including privacy, data protection, and e-commerce contracting, and we provide advice regarding Canadian, Australian, and European Union regulatory interests in these areas.
