Corporate Securities: We provide advice with respect to the sale of securities. Whether the sale is public or private, we provide our clients with advice on how to undertake a debt or equity financing and we assist our clients in the preparation of documents for offering and selling their securities.

We know the SEC securities registration and reporting requirements of public companies and disclosure issues surrounding the purchase and sale of securities by officers, directors, and affiliates of such companies. We know the rules affecting registered broker-dealers and we provide representation in securities arbitration and litigation.

Municipal Securities: We provide counsel with respect to securities transactions involving state and local government financings, especially with regard to satisfying the applicable disclosure requirements for tax-exempt securities. We provide representation in the issuance of long term bonds, short term financings like grants, notes and loans, lines of credit, and lease purchase arrangements, and credit enhancements of such securities.

Finance: We give legal advice to businesses in all phases of corporate growth and development with respect to the legal and structural aspects of for profit, nonprofit and cooperative corporations, general and limited partnerships, limited liability companies and partnerships, joint ventures, and sole proprietorships, and the benefits and detriments of such entities when one seeks to raise capital. We advise with respect to the relationships among various types of equity, debt, and contract capital. We have significant experience, for example, in complex, multiparty joint ventures, global strategic alliances, asset-based securities and other pooled risk vehicles, and consolidations and roll-ups. After the appropriate structure has been selected, we do the law work to enable our clients to raise needed capital.

Investments: We have significant experience representing venture capitalists, investment and merchant bankers, banks, financial consultants, and institutional and individual investors. On their behalf, we have negotiated and closed simple and complex financing, refinancing, and exit transactions for new and emerging businesses and large and established corporate entities.
