Technology, Emerging Growth, and E-Commerce

We represent emerging and established technology- and knowledge-based companies, venture capital groups, institutional investors, investment and merchant bankers, and individual investors. We are involved with our clients in all phases of the business life-cycle, including "seed," start-up and Phase II planning and financings, mergers and acquisitions, private and public offerings of common and preferred equity and debt, intellectual property examination and protection, tax structuring, international trade, and regulatory affairs.

We focus upon satisfying client needs by listening, thinking and providing creative solutions to complex issues, whether it be settling noncompetition agreements with the prior employers of key employees, forming new Colorado, Delaware, or Nevada business entities, advising regarding the business plan or securities placement memorandum, negotiating financing documents (e.g., stock purchase, preferred terms, investors' rights, stockholders, nondisclosure, stock option, and employment agreements), assisting in the acquisition of intellectual property through assignments and licenses, registering marks and copyrights, negotiating strategic alliances, managing infringement litigation, or preparing IPO or merger documents. We manage our actions to the abilities and needs of our technology clients; we are sensitive to our clients' wants and we make a conscious effort to respond with the correct mix of transactional, intellectual property, securities, real estate, tax, and litigation lawyers on each client's team.

Our representation of technology businesses and financing entities in transactions throughout the states of the Plains, Pacific Coast, and Mid-and Rocky Mountain West has provided us with a large reservoir of experience in the converging industries of (1) hardware, software, e-commerce and telecommunications, (2) biotechnology, pharmaceutical, medical devices and human health, (3) agriculture, brewing, food stocks and processing, and (4) bioremediation, liquid and solid waste, and environmental management. We have useful relationships with economic development professionals at the state and local level. We also have significant and successful experience with business incubators and in negotiating research and development and technology transfer agreements for businesses with universities, federal laboratories, and "think tanks" throughout the United States.
