Angie helps her clients reach their business goals by getting the deal done. She serves businesses of all sizes, from small closely-held companies to large publicly-traded corporations, and draws upon her experience to lead her clients through all stages of a transaction. She has helped her clients grow through mergers and acquisitions, capital raises, entering into joint ventures, purchasing business assets and obtaining financing. When companies decide to undergo other strategic transactions, Angie assists in stock repurchases, transferring corporate ownership, loan workouts and foreclosures, bankruptcies and corporate reorganizations, sales, wind-ups, and dissolutions.

In handling more complex financial deals, Angie has served as counsel to a national lender as the corporate trustee and collateral trustee for corporate debt issuances ranging from $500 million to $1 billion. She has been on both sides of lending transactions, having served as counsel to lenders and borrowers in transactions ranging from $5 million to $250 million. Many of these transactions helped her clients obtain financing for construction loans, purchase business assets, acquire real estate and land, and refinance their lines of credits.  

She is well-versed in advising her clients on complex business contracts. She has experience negotiating sales agreements, supply and service agreements, asset purchase agreements, employment agreements, equipment and real estate leases, intellectual property and licensing agreements, technology service agreements, and confidentiality agreements. In counseling on corporate governance, regulatory, and compliance issues, Angie has helped her clients navigate state laws filing for securities exemptions, managed compliance with state laws and regulations, drafted corporate books and records, and established compliance programs.

Prior to entering private practice, Angie worked as in-house corporate counsel to a large global mining company and a plastics manufacturer. Her experience in counseling companies from a variety of industries, including banks and financial institutions, electronics manufacturing, real estate developers, coal mining, and clothing retail, has given her the a unique perspective that enables her to utilize good business judgement to solve her clients’ business problems.
