Corporate and Transactional Associate
Fairfield and Woods, P.C. (FW), a well-established law firm in Denver, Colorado, is seeking a seasoned corporate and transactional associate attorney to join our dynamic corporate department. This role provides a unique opportunity to engage in complex business transactions, collaborate directly with clients and partners, and contribute significantly to the firm’s success.
The ideal candidate will have 5 to 8 years of experience in corporate/business transactional law, either in a law firm or in-house, coupled with a robust understanding of relevant law, strong business acumen, and a genuine curiosity for learning. We value candidates who are eager to take the lead on transactions and grow their expertise within our firm.
Relevant work experience may encompass a range of areas outlined below (proficiency in all or most is not a requirement):
- Private company corporate transactions, choice of entity analysis, and the formation of entities along with their associated documents such as shareholder agreements and bylaws.
- Commercial transactions which can include master service and non-disclosure agreements, software licenses, and consulting agreements.
- Employment and independent contractor agreements, mergers and acquisitions (sell side and buy side), and private security offerings.
- Intellectual property – such as prosecution of trademark and copyright applications, protection of IP and trade secrets, and IP licensing.
- Start-ups/emerging companies.
- Equity incentives – such as stock options, restricted and phantom stock, and profit interests.
- Venture capital and/or private equity transactions.
- Debt financings/lending transactions and UCC (secured transactions).
- Corporate, partnership, individual, or non-profit tax.
- Further areas may include advertising and sweepstakes, construction contracts, and resolving shareholder/member disputes.
Qualified candidates will have:
- 5-8 years of relevant legal experience.
- Strong knowledge of relevant law.
- A JD from an accredited law school.
- Admission to the Colorado Bar or eligibility for admission via reciprocity.
- Positive attitude, strong interpersonal skills, strong work ethic, solid communication skills, good organizational skills.
Preferred qualifications:
- Experience in securities, tax, emerging companies/venture capital, or non-profits is a plus.
- Portable business is an added plus.

Compensation & Benefits
The starting salary range for this position is $125,000-$155,000/year based on education and experience, as well as a discretionary bonus program. The actual compensation will be determined based on experience and other factors permitted by law.
